1. Agreement to Terms

By accessing or using WFC Solution, you agree to be legally bound by these Terms of Service. These Terms constitute a binding agreement between you and WFC Solution governing your use of the platform, software, and services. If you do not agree, you must immediately discontinue use. Continued use after updates constitutes acceptance of revised Terms.

2. Description of Services

WFC Solution provides a QR-based customer engagement and SMS marketing platform designed to help businesses capture customer information and automate communication workflows. The platform includes campaign management tools, automated messaging, analytics, and integrations with third-party providers. Features may evolve, be modified, or discontinued at any time without prior notice.

3. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements. By using the Service, you represent that you have the authority to act on behalf of your business or organization. Any misuse or misrepresentation may result in suspension or termination.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and all activities conducted under your account. You agree to provide accurate and complete information at all times and to update such information as necessary. WFC Solution is not liable for losses resulting from unauthorized access due to your failure to secure your account.

5. Pricing and Payment

The Service includes a one-time setup fee of $2,500 and a recurring monthly subscription of $449. Additional SMS usage is billed at $0.01 per message. All fees are payable in advance and are non-refundable except where required by law. Failure to make timely payments may result in suspension or termination of services without notice.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with all applicable laws and regulations. You must not engage in spam, deceptive practices, harassment, or unauthorized data collection. Any violation of this section may result in immediate suspension or termination of your account without refund.

7. Compliance with Laws

You are solely responsible for complying with all applicable laws, including but not limited to CASL, TCPA, GDPR, and other privacy or communication regulations. This includes obtaining valid consent before sending SMS or marketing communications. WFC Solution is not responsible for any violations arising from your use of the platform.

8. Data Ownership and Processing

You retain ownership of all customer data collected through the platform. By using the Service, you grant WFC Solution a limited right to process, store, and transmit such data for the purpose of providing and improving services. You are responsible for ensuring that all data is collected lawfully and with proper consent.

9. Data Security

WFC Solution implements reasonable administrative, technical, and organizational safeguards to protect data. However, no system is completely secure, and we do not guarantee absolute security. You acknowledge the inherent risks associated with digital data transmission and storage.

10. Third-Party Services

The platform relies on third-party providers such as Twilio and GoHighLevel for certain functionalities. WFC Solution is not responsible for failures, outages, or data issues caused by these third-party services. Your use of such services is subject to their respective terms.

11. Service Availability

While we strive to maintain continuous availability, we do not guarantee uninterrupted service. Maintenance, updates, or unforeseen issues may result in downtime. WFC Solution is not liable for any losses resulting from service interruptions.

12. Suspension

We reserve the right to suspend your account immediately if you violate these Terms, fail to make payments, or engage in activities that may harm the platform or other users. Suspension may occur without prior notice.

13. Termination

You may terminate your subscription with 30 days written notice. WFC Solution may terminate access at its discretion in cases of violation or misuse. Upon termination, access to services and data may be revoked.

14. No Guarantees

WFC Solution does not guarantee specific business results, including revenue growth, customer engagement, or performance outcomes. Results depend on various factors beyond our control, including your business practices and market conditions.

15. Limitation of Liability

To the maximum extent permitted by law, WFC Solution shall not be liable for indirect, incidental, or consequential damages, including loss of profits or data. Total liability shall not exceed the amount paid by you in the preceding three months.

16. Indemnification

You agree to indemnify and hold harmless WFC Solution from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or failure to comply with applicable laws. This obligation survives termination.

17. Intellectual Property

All platform content, software, and intellectual property are owned by WFC Solution. You may not copy, reproduce, distribute, or resell any part of the Service without written permission.

18. Force Majeure

WFC Solution shall not be liable for delays or failures caused by events beyond its control, including natural disasters, outages, or government actions.

19. Modifications

We reserve the right to update these Terms at any time. Changes will be posted on this page, and continued use of the Service constitutes acceptance.

20. Governing Law

These Terms are governed by the laws of Quebec, Canada. Any disputes shall be resolved under applicable jurisdiction.
